Ixia to Acquire Catapult Communications


Acquisition Will Make Ixia a Leader in 3G and 4G Wireless Test Market


CALABASAS, CA, May 11, 2009 – Ixia (Nasdaq: XXIA) announced today that it has signed a definitive agreement with Catapult Communications Corporation (Nasdaq: CATT) (“Catapult”), under which Ixia will acquire Catapult for $9.25 per share in cash.  The transaction is valued at approximately $105 million, or $63 million net of Catapult’s cash and investments.  The acquisition is expected to close in the third quarter.


Catapult’s 3G and 4G wireless networking test solutions are an excellent complement to Ixia’s complete line of IP performance test systems and service verification platforms.  With this acquisition, Ixia will be able to provide a single source solution for testing converged multiplay IP services over wireless and wireline networks to new and existing customers, specifically telecom equipment manufacturers and global service providers. Catapult’s advanced wireless test systems deliver superior high-performance solutions for hundreds of protocols and variants, including LTE, IMS, WiMAX, CDMA, VoIP, GPRS and GSM.

The acquisition will be conducted by means of a tender offer for all of the outstanding shares of common stock of Catapult, followed by a second-step merger. The board of directors of Catapult has unanimously recommended that the stockholders of Catapult accept the offer, and Dick Karp and Nancy Karp have entered into a support agreement to tender their shares, which represent approximately 37% of shares outstanding. The offer, which is expected to commence within the next ten business days, will be subject to customary conditions, including acceptance of the tender offer by the holders of a majority of Catapult’s outstanding shares and regulatory approvals (including antitrust compliance).


This transaction is expected to be accretive to Ixia’s non-GAAP earnings as early as the fourth quarter of 2009. Non-GAAP earnings exclude stock-based compensation, amortization of acquired intangible assets, and other non-recurring charges, net of the applicable tax effects.

Washington State Ferry System Offers Wi-Fi® to Passengers on Boats Using Proxim’s Wireless Backhaul

Proxim’s Products Provide Vessel-to-Shore Wireless Connectivity with High Throughput to Support Data, Voice and Video


Silicon Valley, April 29, 2009Proxim Wireless Corporation (OTCQX: PRXM), a leading provider of end-to-end broadband wireless systems that deliver the quadruple play, today announced that the Washington State Ferry (WSF) system has deployed Proxim’s license-free WiMAX solutions to provide wireless backhaul to their entire fleet of vessels, enabling them to offer Wi-Fi access to all passengers. WSF has utilized a combination of Proxim’s Tsunamiâ„¢ MP.11 5054-R base station units and Tsunami MP.11 5054-LR base and subscriber units to provide point-to-multipoint connectivity with over 12 Mbps throughput to every vessel.

WSF carries 25,000 passengers per day on 500 sailings. Wi-Fi service is available on 15 vessels ranging in size from 460 ft. vessels that carry 2,500 passengers and 200+ cars and trucks down to the smallest that carry about 1000 passengers and 80 cars and trucks. Users experience seamless internet coverage over five routes that vary in length from 2.8 miles to over 15.5 miles. Coverage is also provided at 11 of 14 WSF terminals.


To design the system, WSF contracted with Wi-Fi service provider Parsons Corp. of Irvine California, who sub-contracted system design, development and deployment to Sunrise Wireless, a San Francisco Bay Area wireless integrator. The original design goal was to provide a minimum of 12 Mbps throughput to each vessel in the WSF fleet, while guaranteeing an always-on connection.  The final solution using Proxim products exceeded that goal.


 


WSF has 25 vessels that run different routes from as far south as Port Defiance in Washington all the way up to Sidney in British Columbia, so one major challenge was developing a system that could maintain the high throughput levels and seamless connectivity regardless of where a vessel was located along a route and also be independent of what route a vessel was taking.


In addition to the size of the area that needed to be covered, Sunrise had the added challenge that water brings to all RF environments due to the added attenuation affects that water has on RF. After assessing connectivity needs and the present challenges, Sunrise determined that the only system that could meet users’ needs in a cost-effective manner was Proxim’s point-to-multipoint license-free WiMAX solution.


“We tested solutions from other wireless vendors, but had difficulty in getting reasonable performance particularly when it came to roaming over water – the requirements and environment were very demanding,” said Milt Gregory, President of Sunrise Wireless. “Satellite solutions would cost significantly more and provide less throughput than needed, so that wasn’t an option either. At the end of the day, Proxim’s WiMAX gear came through, and far exceeded the requirements for the project. We are consistently getting throughput that is significantly greater than the design goal of 12 Mbps, out to each vessel and throughout the system. Additionally, support from Proxim throughout the design and deployment has been exceptional – an important contribution because of the very harsh marine RF environment.”


The system, which is now completed and fully operational, connects 15 vessels with 11 terminals and numerous shoreline access points. And because Proxim’s products are providing greater throughput than the original 12 Mbps design goal, the system is already capable of supporting advanced wireless applications such as VoIP and streaming video in the future without requiring any additional radios.


“Wireless connectivity has become so ubiquitous that people just come to expect it wherever they are, whether they’re in stores, at coffee shops, or in public parks. Proxim’s Wireless Backhaul Eliminates Leased Line Costs for the City of Bee Cave, Texas


City Saves Over $7,800 Per Year by Connecting All Municipal Buildings with Wireless Backhaul


Silicon Valley, April 21, 2009Proxim Wireless Corporation (NASDAQ: PRXM), a leading provider of end-to-end broadband wireless systems that deliver the quadruple play, today announced that the City of Bee Cave, Texas has connected the city’s municipal buildings with Proxim’s point-to-point wireless backhaul technology. Using Proxim’s GigaLink® radios, the city not only increased the overall system bandwidth by 400x from 3 Mbps to 1.25 Gbps, but it also saved over $7,800 per year in leased line costs.

“When we first made the decision to evaluate wireless backhaul technologies for connecting our municipal buildings, our primary concern was the ability to increase our bandwidth to enable future services,” said Richard Reynolds, CTO for the City of Bee Cave. “Proxim exceeded our expectations by providing over 400x the bandwidth of our previous wired system – and all for a fraction of the cost.”


With the large increase in bandwidth that the Proxim system provides, the city designed and implemented a Voice-Over-IP (VoIP) system for all municipal buildings. The City of Bee Cave was the first organization, public or private, to successfully integrate an open source VoIP solution with Microsoft Exchange 2007 and Unified Messaging in the Austin Metropolitan area. Utilizing open source solutions helped Bee Cave reduce costs in hardware, software, and licensing while expanding available services. Not only does the VoIP system reduce costs, but the system’s services were extended to field personnel via hand-held mobile devices, allowing employees to respond to citizen requests from anywhere, providing better service for citizens.


In addition, the system still has plenty of capacity to enable Bee Cave to offer additional services over time. The city is currently considering the future expansion of the network to offer outdoor Wi-Fi® connectivity to both the city’s 50 acre park as well as “The Backyard,” the city’s popular outdoor music venue which attracts many musicians from the thriving music scene of nearby Austin, Texas.

New Version of RoamAnywhere Introduces Mobile Context with Location-Based Enterprise Presence; Adds New Cost-Savings Capabilities to Leading FMC Platform

According to Gartner, Inc., “In 2011, 85 percent of context-enriched services will present interfaces based on location or presence information…The information that is most commonly needed will be location and presence.  Location will be leveraged most in mobile, while presence will be more common in fixed settings. Still, given both, most applications that leverage any context information will start with either or both of these. Of course, there can be other context information provided, but this information will be the most consistently and widely provided.”1


RoamAnywhere Presence leverages RoamAnywhere’s location-aware architecture to automatically indicate the location of mobile users, giving the caller intelligence into a user’s presence before attempting a call or using an alternative medium, such as email/text, if the person is unavailable.  Earlier mobile UC solutions apply limited and static presence information to mobile devices.  In addition, these early solutions do not integrate into enterprise UC systems and lack support for PC users.  RoamAnywhere Presence enables users to select the best method of communication by enabling visibility into mobile context, including status and location, to mobile and deskbound users.

Agito has also added enhanced Least Cost Routing capabilities to its policy engine.  Enterprises can significantly reduce international direct dial and roaming charges with the addition of Agito’s Global Roaming feature set, including Automatic Reverse Dial, Dynamic Anchoring, and Automatic SIM Swap.  Automatic Reverse Dial reduces “calling party pays” rates in European and Asian counties by automatically initiating calls from the enterprise PBX instead of the cellular phone.  Dynamic Anchoring allows enterprises to capitalize on carrier provided “free mobile to mobile calls,” On-Net calling and closed user groups, in addition to routing calls over WiFi, to reduce cellular charges and international direct dialing costs.  Automatic SIM Swap enables business users to use prepaid SIM cards without worry of lost calls and voicemails due to new country specific numbers.

Gain Cost Efficiencies by Brining in the Real World in the Wireless Test Lab

Wireless operators and manufacturers traditionally rely on fleets of drivers to perform mobile field testing, also referred to as drive testing, to verify the operational and performance capabilities of mobile devices and services. This approach is neither repeatable nor cost-efficient.  


With flexible ‘Virtual Drive Test’ and ‘Fading Lab’ features mobile operators and device vendors can deliver cost efficiencies over field testing. At CTIA Wireless 2009, Spirent is unveiling new Virtual Drive Test and Fading Lab functionality on Spirent’s SR5500 Wireless Channel Emulator, the award-winning solution for wireless receiver performance testing. 


Virtual Drive Test allows rapid re-creation of RF conditions to bring real-world field testing of mobile devices into the lab. Fading Lab enables the creation or replay of highly-detailed, advanced radio environments from a wide range of data sources.  


“Virtual Drive Test reduces the amount of physical field testing required in a product’s life cycle resulting in significant cost savings,” said Rob VanBrunt, vice president of Spirent’s CDMA and Physical Layer market segment. “It also offers some clear technical advantages over field testing, enabling the same precise scenario to be repeated across multiple test runs, eliminating much of the uncertainty inherent to field testing.” 


Virtual Drive Test uses Spirent’s exclusive Dynamic Environment Emulation (DEE) feature to provide a more rigorous and sustainable alternative. Virtual Drive Test generates a set of controlled dynamic RF channels based on channel parameter data. Complex radio mobility scenarios can be created without deploying scores of vans, and the RF environment remains consistent between test iterations. 


 Spirent’s new Fading Lab supplements the SR5500’s existing real-time engine with a new “Fading Data Playback” engine. The Fading Lab engine converts data into a sample-accurate wireless RF environment. The Fading Lab’s universal interface accepts data from a wide range of sources including channel-sounding tools and software packages. Virtually any mathematical or ray-tracing software package can be used to synthesize the input data, as can custom software packages or scripts. The text-based template allows the user to create any customized fading model imaginable. 


“For wireless operators and device manufacturers, the Spirent SR5500 has been there to eliminate the risk of missing a critical RF issue.” added VanBrunt. “Now Fading Lab’s flexibility eliminates the risk of running up against a channel model your equipment can’t address.” 


The Fading Lab includes Fading Studio, a software package that creates advanced channel scenarios for testing MIMO and other multiple-antenna systems. These already include Spatial Channel Models (SCMs/SCMEs), with models defined by the European Wireless World Initiative New Radio (WINNER) consortium to follow shortly.
