Synchronica Acquires AxisMobile and Raises Funds of $18 Million in 2008

Landmark Acquisition Aims to Build Leading Mass Market Mobile Email and Synchronization Solutions Provider

Royal Tunbridge Wells, 18 August, 2008. - Synchronica plc (AIM: SYNC.LN), the international provider of mobile email and synchronization solutions, today announced that it is acquiring consumer mobile email specialist AxisMobile for USD 4.9 million in new Synchronica shares. Synchronica also stated that it has raised additional funds of USD 10 million from new and existing institutional investors which brings the total funding secured in 2008 to USD 18 million. The additional funds will be used to accelerate product integration and fuel the growth of the combined business in emerging markets, such as China, Africa, the Middle East, Eastern Europe, and Latin America.

The AxisMobile acquisition aims to make Synchronica the leading player in mass market mobile email and synchronization middleware for mobile operators and service providers. The addition of AxisMobile’s complimentary technology, customer base, and routes to market, combined with the injection of USD 10 million of additional funds will enable Synchronica to provide mass market mobile email solutions that work on more than three billion mobile phones in the market today.

AxisMobile’s consumer mobile email platform complements Synchronica’s award-winning Mobile Gateway software by adding email-to-SMS and email-to-MMS gateways, as well as a clientless solution for WAP / XHTML browser access. AxisMobile’s patented Optimizer email transcoding gateway further adds the ability to display a large variety of attachments, such as Word, Excel, and Powerpoint presentations on standard feature phones handsets that would otherwise be unable to support such functionality.

The AxisMobile acquisition will also enlarge Synchronica’s footprint in emerging markets by adding a strong sales force and key customer contracts in the relatively untapped areas of Eastern Europe, Commonwealth of Independent States (CIS), and Russia to Synchronica’s existing sales presence in the Middle East, Africa, and Latin America. Currently, AxisMobile has eight live customer installations with major mobile operators, predominantly in Central and Eastern Europe (CEE) and China.

Customers include: MTS, the largest mobile operator in Russia and CIS with 84 million customers; Megafon, a Russian mobile network operator with 34 million customers across 88 regions of the Russian federation including its Moscow subsidiary Sonic Duo; T-Mobile; IXI Mobile, consumer back-ends for USA, Switzerland, Turkey, Uruguay; E-Plus, Germany’s third largest mobile network operator with 13.6 million customers; as well as a major Chinese bank.

AxisMobile has also secured contract wins with a leading Ukrainian mobile network operator, a further leading tier one Russian mobile network operator, and a leading Swiss mobile network operator.

Commenting on the acquisition, Synchronica CEO Carsten Brinkschulte says: “The fundraising and the acquisition of AxisMobile is a dramatic acceleration for Synchronica, and I believe that it will build value for our shareholders. We aim to build a world leader in the market of consumer mobile email and synchronization solutions, and this acquisition is a key milestone which will improve our competitive positioning and accelerate our commercial growth. It will increase our ability to sell to customers, particularly to those in emerging economies where we see the largest potential growth for mobile email and synchronization. With the fundraising and the acquisition of AxisMobile, Synchronica now has sufficient mass and funding to take advantage of the outstanding opportunity to exploit the commercial potential of mass market mobile email. The next few years will be an exciting time for us all here at Synchronica and for our customers around the globe. We look forward with increased confidence from this inflect on point.”

Shai Schiller, Executive Chairman of AxisMobile, adds: “This is the start of an exciting new era for AxisMobile and our customers. There are real synergies between Synchronica’s products and target markets and our own, so it makes great commercial sense to combine forces. Both companies are committed to open standards and to developing products that work on even the most basic of handsets - a must given that the market for mass market mobile email is being fuelled by demand from the developing world. We are confident that the combined might of our two companies will prove to be greater than the sum of its parts.”

Forecasts point to emerging markets as a breakthrough area for mass market mobile email. Informa predicts that there will be 4.81 billion mobile phone subscribers by 2012, with the next billion subscribers coming from emerging markets where PC and fixed-line penetration is low.

Synchronica’s Mobile Gateway delivers push email and mobile synchronization of calendar and contact data, targeting consumer and business users with connectors to mass market mailboxes, such as Yahoo or Gmail, as well as business mailboxes, such as Microsoft Exchange or Lotus Domino. Unlike other solutions, Mobile Gateway does not require users to install additional software on the handset or behind the firewall and instead uses the dominant open industry standards Push IMAP and SyncML (OMA DS) to synchronize the built-in email and PIM applications pre-installed on more than 1.5 billion handsets in the market.

With the injection of AxisMobile technology, even the most basic phones will be able to send and receive email, further expanding the addressable market for Mobile Gateway in the consumer sector and in particular in emerging markets where low-end devices are dominating the market.

Virtual Press Conference on the Announcement

Synchronica will be hosting a virtual press conference on August 18, 2008, 11.00 BST, for members of the press and analyst communities. In addition to a presentation by Carsten Brinkschulte, Synchronica’s Chief Executive Officer, Paul Cornelius the industry-respected analyst from FinnCap will add his perspective to the announcement.

Access to the web conference can be obtained by emailing david.clark@synchronica.com on 18 August before 10:30 U.K. time.

InnoPath Mobile Device Management Client Ported to Samsung u340 and u430 Featurephones

Surge in shipments of standards-based, FOTA-enabled phones demonstrates MDM industry leader’s operational capabilities

Samsung u340 and u430 Featurephones InnoPath Software, the leader in Mobile Device Management (MDM), recently announced Samsung is now shipping more than one million u340 featurephones per quarter with the InnoPath device management client preloaded. The Samsung u430, expected to be just as popular, is the latest phone to ship with InnoPath device management technology. The InnoPath client , coupled with the company’s server  at the wireless operator, helps avoid device recalls and provides a better end user experience with firmware updates over the air, or FOTA .

FOTA, a relatively new technology for North American operators, allows the update of firmware on devices such as mobile phones deployed in the field. In the past, firmware updates needed to be done by re-flashing the device at a retail store or service center. Because FOTA allows operators to upgrade features or patch firmware without needing to physically touch or recall the device, this technology is increasingly popular with operators trying to deliver the best possible subscriber experience. Indeed, some operators have mandated that all new phones ship with FOTA capability.

InnoPath not only offers the MDM industry’s only standards-based client and server solution, it uniquely couples a rich porting and verification program with testing tools such as the Server Simulator . InnoPath’s client technology consists of both the DM engine and the firmware update agent, known as the Device Update Agent (DUA). These are based on years of experience in working with major handset vendors. InnoPath’s ‘Port-to-Production’ program  addresses OEM goals for accelerated time-to-market of new devices, management of costs, and ultimately heightened uptake of new high ARPU handsets with maximum customer satisfaction. InnoPath works hand-in-hand with its OEM partners, such as Samsung, from initial client port though testing, until final acceptance by the wireless operator.

“The growing installed base of FOTA-enabled phones is evidence that this is a capability critical to both operators and to their handset vendor partners,” said Terry Hartsfield, vice president of Operations for InnoPath. “The ease in which our OEM partners can port the client to new phones is testament to our end-to-end operational capabilities.”

About InnoPath

InnoPath Software is the global leader in Mobile Device Management, a technology that enables wireless operators to better and more cost effectively manage and deliver revenue-generating services for consumers and enterprises. InnoPath’s standards-based server has proven successful at the largest wireless operators in the world, including AT&T, China Unicom, KDDI and Verizon Wireless. The InnoPath client has been adopted by leading handset manufacturers including Nokia, Samsung and LG. InnoPath was recently recognized by AlwaysOn as an AO Global 250 Winner. Headquartered in Sunnyvale, California, InnoPath is privately held with offices around the world. For more information, visit www.innopath.com.

RAD Brings Olympic Coverage to Chinese Provinces

BEIJING, August 11, 2008: China Radio International (CRI) has selected access equipment from RAD Data Communications to enable it to transmit video on demand (VOD) from the 2008 Olympic games in Beijing.

CRI, which maintains a video server at the Olympics, recommended RAD’s RIC-155GE Gigabit Ethernet over STM-1 network termination unit (NTU) to China Telecom as a reliable gateway for transmitting its Ethernet-based video feed over existing SDH lines to various provincial capitals, including Chengdu (in Sichuan), Xian (in Shaanxi) and Changsha (in Hunan).

Using virtual concatenation technology, the RIC-155GE maps the video streams into VC-4 containers for transport across long-haul fiber connections. CRI first deployed RAD’s RIC-155GE in 2006 to run Ethernet-based video over traditional STM-1 circuits.

“CRI’s previous deployment of the RIC-155GE to carry Ethernet-based services over both wired and wireless SDH transport networks gave them the confidence to propose this solution to China Telecom for their mission-critical IPTV based Olympics coverage,” states Jeremy Zimman, Director of Operations in Greater China at RAD Data Communications. “The RIC-155GE is guaranteed to be a big winner at the Beijing Olympics.”

RAD’s RIC-155GE NTU provides carriers and service providers with a migration path for connecting IP devices with Gigabit Ethernet interfaces to existing SDH or SONET networks at an access rate of 155 Mbps. It is part of RAD’s suite of EtherAccess family of Ethernet access solutions. EtherAccess enables Quality of Service over low and high-speed SDH/SONET and PDH circuits from fractional and full E1/T1, E3/T3 and STM-1/OC-3 circuits to Gigabit Ethernet.

Acme Packet Nets Four New Customers in Canada

BURLINGTON, Mass.–(BUSINESS WIRE)–Acme Packet® (NASDAQ: APKT), the leader in session border control solutions, today announced four new customers across Canada that are leveraging Acme Packet’s Net-Net® session border controllers (SBCs) for the delivery of trusted, first-class IP interactive communications. Broad-Connect Telecom, Call Genie, MTO Telecom and Protus have deployed Net-Net SBCs to provide security and SIP session control for delivery of a broad range of VoIP services. Acme Packet SBCs are now deployed in 20 service provider and enterprise networks in Canada.

Acme Packet’s new Canadian customers are using the Net-Net SBCs at both the access and interconnect borders, protecting their networks with the advanced security afforded by Acme Packet’s Net-SAFE® architecture for denial of service (DoS/DDoS) attack protection, network topology hiding and access control lists. In support of wireline access services, Acme Packet’s hosted NAT traversal feature maximizes service reach by enabling calls to traverse firewalls without disruption at customer sites. Three of the four customers—Call Genie, MTO Telecom and Protus— also use the Acme Packet SBC for SIP session routing, leveraging Acme Packet’s integrated routing database to map inbound calls to specific peers or application servers, simplifying their networks and minimizing capital expenditures.

Acme Packet’s new service provider customers are located throughout Canada and include IP telephony service providers (ITSPs), Internet service providers (ISPs) and application service providers (ASPs):

  • Broad-Connect Telecom, a SIP termination provider and ITSP in Toronto, uses Acme Packet’s Net-Net Session Director (SD) to support its hosted VoIP and SIP trunking services for small and medium businesses, as well as SIP interconnects with peering partners.

  • Call Genie Inc., a mobile local search and advertising company with offices in Toronto, Calgary, San Francisco and London, uses Acme Packet to support its voice-enabled search solution. Call Genie delivers the voice-activated directory lookups to its major North American service provider customers across connections secured and routed by Acme Packet’s Net-Net SBCs.
